Terms of Service

Status: In development, pending approval. This draft is provided in good faith but has not been reviewed by counsel and may not be legally enforceable as written. If you are relying on it for any regulated activity, consult a qualified attorney.

1. Acceptance of Terms

By accessing or using chargingsystemsinc.com (the “Site”), operated by Charging Systems Inc.(“Charging Systems,” “we,” “us,” “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Site.

We may update these Terms from time to time. Continued use of the Site after we post changes constitutes acceptance of the updated Terms.

2. Scope of service

The Site is currently a browse-and-research catalog of rotating-electrical products (starters, alternators, motors, generators). Online ordering, payment processing, and account management are not currently offered through the Site. For pricing and purchases, contact our sales team directly.

We reserve the right to add, modify, or discontinue features at any time without prior notice.

3. Intellectual property

The Site and all content on it — including but not limited to the catalog database, cross-reference data, product descriptions, specifications, photographs, illustrations, text, software, design, layout, look-and-feel, and overall presentation (collectively, the “Content”) — are owned by Charging Systems or our licensors and are protected by United States and international copyright, trademark, trade secret, and other intellectual property laws.

You are granted a limited, revocable, non-exclusive, non-transferable license to access and view the Content for your personal or internal business purposes related to identifying, researching, or purchasing the products we offer. All other uses are prohibited absent our express written permission.

Trademarks.“Charging Systems,” the Charging Systems lightning bolt mark, and any associated product brand names are trademarks of Charging Systems Inc. Other trademarks referenced on the Site (e.g., manufacturer names used in cross-reference data) are the property of their respective owners. Use of those marks on the Site is solely to describe and identify compatible products and does not imply endorsement, sponsorship, or affiliation with the trademark owner.

4. Acceptable use — what's prohibited

You agree not to engage in any of the following, by yourself or through any agent or automated system:

  • Scraping, crawling, or harvesting the Site or its content using automated tools, bots, scripts, or similar means, except (a) public search-engine indexing consistent with our robots.txt, or (b) with our express prior written permission.
  • Bulk copying, mirroring, republishing, or redistributing the catalog database, cross-reference data, or any substantial portion of the Content in any form, whether free or commercial.
  • Reverse engineering, decompiling, or attempting to derive the source code of any software on the Site.
  • Circumventing or attempting to defeat any rate limit, access control, bot detection, or other security measure on the Site.
  • Using the Content to train a model, dataset, embedding, or system intended to substitute for or compete with our catalog or cross-reference service, other than with our express prior written permission.
  • Framing, deep-linking with intent to mislead, or otherwise presenting our Content in a manner that implies endorsement, sponsorship, or affiliation that does not exist.
  • Interfering with the Site's operation, including by introducing malware, conducting denial-of- service attacks, probing for vulnerabilities, or transmitting any code or content intended to disable, damage, or unfairly load the Site or its infrastructure.
  • Misrepresenting your identity, using a User-Agent string designed to evade our bot detection, or rotating IPs to bypass rate limits.
  • Violating any applicable law in connection with your use of the Site, including U.S. and international intellectual property laws, the Computer Fraud and Abuse Act, and similar laws elsewhere.

Charging Systems reserves all rights against parties who violate this Section, including without limitation injunctive relief and damages.

5. AI training and dataset use

Catalog data, cross-references, vehicle applications, and spec sheets on this Site represent material investment in curation, normalization, and ongoing maintenance. Use of the Content to train, fine-tune, or evaluate any artificial intelligence model, machine-learning dataset, retrieval index, or similar system intended to compete with, or substitute for, our catalog or lookup service is prohibited absent our express prior written permission.

We do permit indexing and citation by recognized general-purpose search engines and AI assistants (including but not limited to Google, Bing, Yandex, DuckDuckGo, OpenAI GPTBot, Anthropic Claude, Perplexity, and similar) to the extent such use directs end users back to our Site for the underlying product information. Our robots.txt is the authoritative signal for what we permit.

6. Catalog accuracy disclaimer

Cross-reference data, vehicle applications, and product specifications are provided for informational purposes and come from multiple sources including manufacturer documentation, third-party catalogs, and our own measurements. We strive for accuracy but make no warranty regarding fit, function, or suitability for any particular vehicle or application. You are responsible for verifying fit, voltage, polarity, mounting compatibility, and any safety-critical specification before installation or use.

7. Third-party trademarks in cross-references

References to third-party manufacturer brands or part numbers (for example, Denso, Bosch, Mitsubishi, Hitachi, Delco, Motorola, Marelli, and similar) on the Site are made solely for the purpose of identifying products compatible with or replaceable by our products. Such references do not imply that Charging Systems is endorsed, sponsored, licensed by, or affiliated with the third-party trademark holder. All third-party trademarks are the property of their respective owners.

8. DMCA — copyright infringement notices

If you believe content on the Site infringes your copyright, please send a written notice containing the following to sales@chargingsystemsinc.com:

  1. A description of the copyrighted work you claim has been infringed
  2. A description of where on the Site the allegedly infringing material is located (URL)
  3. Your contact information (address, phone, email)
  4. A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law
  5. A statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner
  6. Your physical or electronic signature

Counter-notices may be submitted using the same contact and following 17 U.S.C. § 512(g)(3). We will respond to properly-formed notices in accordance with the DMCA.

9. Disclaimer of warranties

The Site and Content are provided “as is” and “as available” without warranty of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, Charging Systems disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, Charging Systems will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or in connection with your use of the Site or any Content obtained through it.

Our total cumulative liability under these Terms is limited to one hundred U.S. dollars ($100) in the aggregate.

11. Indemnification

You agree to defend, indemnify, and hold harmless Charging Systems and its officers, directors, employees, agents, and licensors from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Site, your violation of these Terms, or your violation of any third-party right.

12. Governing law and jurisdiction

These Terms are governed by the laws of (state to be confirmed by counsel), without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms or the Site will be brought exclusively in the state or federal courts located in (county/state to be confirmed by counsel), and the parties consent to personal jurisdiction in those courts.

13. Severability and entire agreement

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Charging Systems regarding the Site.
